Welcome to GeoAsset LLC ("GeoAsset," "we," "us," or "our"). By accessing or using our location data request platform and services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
GeoAsset provides an on-demand platform for requesting, processing, and delivering geospatial data, including but not limited to GIS data, LiDAR data, digital maps, raster imagery, and custom geospatial analysis. Our Services include:
To use certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.
We offer various subscription plans (Essential, Pro, Enterprise) with different features and data deliverable limits. Plan details and pricing are available on our pricing page.
All subscription plans include a 14-day free trial. You may cancel at any time during the trial period without charge. If you do not cancel before the trial ends, you will be automatically charged for your selected plan.
You agree to pay all fees associated with your subscription plan. Payments are processed through secure third-party payment processors. All fees are non-refundable except as required by law or as explicitly stated in these Terms.
Subscriptions are billed on a monthly or annual basis, depending on your selected plan. Your subscription will automatically renew unless you cancel before the renewal date.
We reserve the right to modify our pricing. We will provide at least 30 days' notice of any price increases. Continued use of the Services after a price change constitutes acceptance of the new pricing.
You may submit data requests through our platform according to your subscription plan limits. Each request must include sufficient detail for us to process and deliver the requested data.
We strive to process and deliver data requests in a timely manner. Processing times vary based on request complexity, data availability, and your subscription plan. We do not guarantee specific delivery timeframes unless explicitly agreed upon in writing.
We make reasonable efforts to provide accurate and high-quality geospatial data. However, we do not warrant that data will be error-free or suitable for all purposes. You are responsible for verifying data accuracy for your specific use case.
Depending on your subscription plan, you may request revisions to deliverables. Revision requests must be submitted within 30 days of initial delivery.
Upon payment, we grant you a non-exclusive, non-transferable license to use the delivered geospatial data for your internal business purposes. This license does not include the right to resell, redistribute, or sublicense the data without our prior written consent.
Some data may be sourced from third-party providers and subject to additional licensing terms. You agree to comply with all applicable third-party licenses.
All rights, title, and interest in and to the GeoAsset platform, including all software, technology, and content, are and will remain our exclusive property. You may not copy, modify, distribute, or reverse engineer any part of our platform.
You agree not to:
We provide data hosting services according to your subscription plan's storage limits. You are responsible for managing your storage usage. We reserve the right to delete data that exceeds your plan limits or has been inactive for extended periods.
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to the Services until that time.
We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will provide notice when reasonably possible.
Upon termination, your right to use the Services will immediately cease. We may delete your account data and hosted files. You remain responsible for all charges incurred prior to termination.
We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may suspend access for maintenance, updates, or unforeseen circumstances.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOASSET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid to us in the 12 months preceding the claim.
You agree to indemnify, defend, and hold harmless GeoAsset and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property matters.
These Terms constitute the entire agreement between you and GeoAsset regarding the Services and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
